Hong Kong Company Incorporation Procedure
The procedure of incorporation is usually completed within 2 weeks. It starts with client filling in and submitting the Formation Form for providing the details of proposed company name, shareholders, directors secretary and registered office. This form will be checked and confirmed if it is registrable within two or three working days.
After that, following documents for incorporating a company will be prepared and sent to a client: Memorandum and Articles of Association, Declaration of Compliance, appointment of first directors and secretary, application for business registration certificate. A Notice of Situation of Registered Office is also required to be filed within 14 days of the date of incorporation. The client should sign all the documents (without putting a date) and submit them back to us.
As the next step, the documents will be filed to the Companies Registry and business registration certificate will be received. After obtaining this certificate from the Inland Revenue Department, the documents (including chops and certified true copies) will be sent to the client. From that moment the company can be used.
